Cadrenal Launches Strategic Review, Hires Tungsten Advisors

PONTE VEDRA, Fla. – – October 27, 2026 -- Cadrenal Therapeutics (Nasdaq: CVKD) has opened a formal strategic process covering its entire four-asset pipeline, with options ranging from asset sales to a full business combination. The Board of Directors initiated the review to maximize value for shareholders, and Tungsten Advisors will act as exclusive strategic financial advisor.

Four programs, from Phase 3-ready to preclinical, are in scope

The review covers CAD-1005, tecarfarin, frunexian and CAD-2000, the company's second-generation 12-LOX platform. Cadrenal says the process builds on ongoing partnering discussions.

Potential transactions include licensing or sale of individual assets, development and commercialization partnerships, portfolio transactions and business combinations.

FDA alignment on CAD-1005 Phase 3 path anchors the sales pitch

CEO and Chairman Quang X. Pham said the company has received "strong interest from potential strategic partners" after aligning with the FDA on the Phase 3 pathway for CAD-1005. The first-in-class 12-LOX inhibitor targets heparin-induced thrombocytopenia (HIT). It holds FDA Orphan Drug and Fast Track designations, as well as orphan status from the European Medicines Agency. Cadrenal has received FDA feedback on a Phase 3 registration study in HIT.

Tecarfarin, an oral vitamin K antagonist, is described as Phase 3-ready for chronic anticoagulation in patients with end-stage kidney disease, atrial fibrillation and implanted left ventricular assist devices. It has FDA Orphan Drug and Fast Track designations for certain indications.

Frunexian is an investigational parenteral Factor XIa inhibitor for acute and critical care settings, including major cardiac surgery. CAD-2000 is a preclinical, orally bioavailable 12-LOX inhibitor aimed at chronic inflammatory indications, including obesity-driven systemic inflammation, metabolic-associated steatohepatitis (MASH) and chronic cardiorenal diseases.

Cadrenal gives no assurance of a deal and plans no interim updates

The company states there is no assurance the process will result in a transaction. It will not provide updates unless the Board approves a specific transaction or course of action, or disclosure is otherwise appropriate or required.

Cadrenal's risk disclosures cite its need for additional capital, possible disruption to its business during the process, and its ability to maintain its listing on The Nasdaq Capital Market.
