Cloud Software Group Raises Tender Price for 2029 Second Lien Notes

Fort Lauderdale – November 03, 2026 -- Cloud Software Group Holdings, Inc. raised the cash consideration in its tender offer for its 9.00% Senior Secured Second Lien Notes due 2029 to $1,022.50 per $1,000 principal amount, up from $1,017.50.

Consideration rises $5.00 per $1,000 of notes tendered

The increase lifts the offered price to 2.25% above par, from 1.75% previously. Holders whose notes are accepted will also receive accrued and unpaid interest, calculated from the last interest payment date up to, but excluding, the settlement date.

The offer remains capped at $2.0 billion aggregate principal amount of notes and is subject to proration. If the cap is fully used, the $5.00 increase adds up to $10 million to the maximum consideration. The company made the offer under an Offer to Purchase dated Nov. 2, 2026.

Expiration date holds at 5:00 p.m. New York time on Nov. 9, 2026

The deadline is unchanged, and all other terms of the original Offer to Purchase stand. Holders therefore have until Nov. 9 to decide whether to tender at the higher price.

The release warns that intermediaries and DTC may set earlier deadlines for submitting or withdrawing tender instructions. It advises holders to check with their banks or brokers on timing.

Citigroup manages the offer, Global Bondholder Services handles tenders

Citigroup Global Markets Inc. is dealer manager. Global Bondholder Services Corporation is tender and information agent.

Cloud Software Group does not recommend whether holders should tender. The release's forward-looking statements tie completion of the offer to market conditions and to a separate "New Notes Offering" defined in the Offer to Purchase.
