North Canton, Ohio – October 29, 2026 -- Diebold Nixdorf (NYSE: DBD) said its Board of Directors authorized a new share repurchase program of up to $250 million, as the company's previous $200 million buyback, announced on Nov. 5, 2025, nears completion.
Executive Vice President and Chief Financial Officer Tom Timko said the new program gives the company "additional flexibility" to return capital to stockholders while it continues to invest in strategic opportunities across its businesses.
Diebold Nixdorf can execute the $250 million buyback through open market, block and accelerated repurchase structures
The company may buy shares on the open market, including round lot or block transactions. It may also use one or more accelerated stock repurchase plans, or repurchase plans under Rule 10b5-1 of the Securities Exchange Act of 1934.
Board keeps the right to suspend or end the program at any time without notice
The timing, price and size of any purchases will depend on prevailing stock prices, general market and economic conditions, and other considerations. The program does not obligate Diebold Nixdorf to acquire any particular amount of stock, and the board may extend, suspend or discontinue it at any time.
The company's forward-looking statements name its ability to generate sufficient cash flows to carry out repurchases as a factor that could affect the program. They also cite the amount and timing of any purchases, and refer to its SEC filings, including the Annual Report on Form 10-K for the year ended Dec. 31, 2025.
Diebold Nixdorf released its third-quarter revenue and adjusted EBITDA growth results separately on the same day as the buyback announcement.
