São José dos Campos – October 30, 2026 -- Embraer (NYSE: EMBJ; B3: EMBJ3) will give holders of record three additional American Depositary Shares for every ADS held, resetting its ADS ratio from four common shares per ADS to one common share per ADS.
Record date of November 9 sets the split's eligibility cutoff
Holders of record as of the close of trading on November 9, 2026 will receive the additional ADSs after the close of trading on November 13, 2026. Trading on a split-adjusted basis under the new ratio is expected to begin at market open on November 16, 2026.
Amendment to Third Amended and Restated Deposit Agreement implements the change
The ratio change will be effected through an amendment to Embraer's Third Amended and Restated Deposit Agreement. JPMorgan Chase Bank, N.A., the depositary for the ADS program, will carry out the change.
Underlying common shares remain unchanged, with no new issuance
No new common shares will be issued, and the ratio change will not affect Embraer's underlying common shares. The company said the economic value of ADS holders' ownership interests will not change.
Embraer's ADSs will continue to trade on the New York Stock Exchange under the ticker "EMBJ".
