AMSTERDAM – October 29, 2026 -- Ferrovial N.V. (Nasdaq and Spanish exchanges: FER) declared an interim scrip dividend totaling EUR 600 million, payable in cash or in new or treasury Ferrovial shares at each shareholder's election and funded from the company's reserves.
Per-share amount due November 3, ex-dividend dates set for November 5 and 6
The dividend per share will be set on the number of shares outstanding on the relevant ex-dividend date, and Ferrovial expects to announce it on November 3, 2026. Shares trade ex-dividend on November 5 on the Madrid, Barcelona, Bilbao and Valencia exchanges and on November 6 on Nasdaq's Global Select Market. The record date is November 6, 2026.
Share ratio will be fixed on a three-day average price in late November
The number of shares needed to receive one additional share will be based on the volume weighted average price of all Ferrovial shares traded on the Spanish exchanges on November 18, 19 and 20, 2026. Ferrovial will calculate the ratio so that the gross EUR value of the share dividend roughly equals the gross cash dividend. The ratio and the number of shares to be delivered are expected on December 3, 2026.
Ferrovial may deliver treasury shares, newly issued shares, or a combination. The shares delivered will rank pari passu with outstanding shares.
Election window runs November 9 to 20, and silence defaults to shares
Holders through Euroclear Nederland or Iberclear custodians can elect from 9:00 am CET on November 9 until 5:30 pm CET on November 20. Holders through DTC, or directly on the share register in registered form, have from 9:00 am ET on November 9 until 5:00 pm ET on November 20.
Shareholders who make no election will receive shares. Banks and brokers may apply their own default options or set earlier deadlines.
Elections go to ING Bank N.V. for Euroclear Nederland and Iberclear holders, to DTC for DTC participants, and to Computershare Trust Company, N.A. for registered holders.
Cash dividends face 15% Dutch withholding, while Ferrovial absorbs the tax on share dividends
Cash dividends are in principle subject to 15% Dutch dividend withholding tax, deducted from the payout. Share dividends are taxed only on the nominal value of EUR 0.01 per share, and Ferrovial will bear that tax at 17.65%. Local withholding may also apply depending on a shareholder's tax residency or status. Investors entitled to a Dutch withholding exemption on cash must contact their bank or broker to receive the full amount on the payment date.
Payments start December 10, with USD conversion for DTC and registered holders
Cash payments, share delivery and cash settlement of fractions begin on December 10, 2026, based on entitlements on the record date. Fractions will be settled at the volume weighted average price from November 18 to 20 on the Spanish exchanges.
Cash is paid in EUR, except to holders through DTC or in registered form. They will be paid in USD at the BFIX Bloomberg FX Fixings Frankfurt 2:00 pm CET rate of November 20, 2026.
