Fourthline, Veridas Close Merger With Up to EUR 65M Funding

Amsterdam – November 03, 2026 -- Fourthline and Veridas closed their merger on 3 November 2026, creating an identity verification group with forecast 2026 combined revenue above EUR 50 million and financing of up to EUR 65 million. The deal was first announced on 16 July 2026 and completed after all closing conditions were met.

Finch Capital, Seaya Andromeda and Ashgrove Capital supply up to EUR 65 million

Existing shareholder Finch Capital, new equity investor Seaya Andromeda and debt provider Ashgrove Capital are funding the transaction. The money will go toward product innovation, strategic M&A, debt refinancing and a reorganized shareholding structure. That structure includes partial liquidity for Veridas shareholders.

Both companies are EBITDA-positive at closing. The group expects annual recurring revenue of EUR 85 million by 2029 and run-rate synergies of EUR 20 million per year. With limited customer overlap and complementary markets, most of that growth is expected to come from cross-selling each company's proprietary technology to the other's clients. The group is on track for 200 million verifications in 2026.

Fourthline CEO Paul Stoddart leads the merged group from Amsterdam

Stoddart becomes CEO, and Veridas CEO Eduardo Azanza becomes President. Radboud Vlaar, Managing Partner at Finch Capital, chairs the supervisory board. Esteban Morrás, formerly Veridas President, Philip van Engers of Finch Capital and Alfonso Diaz, Investment Director at Seaya Andromeda, join the board of Fourthline Group Holding B.V. Headquarters will be in Amsterdam, with offices in Stockholm, Pamplona, Barcelona, Mexico, São Paulo and Boston.

Juniper Research projects digital ID verification spending will reach nearly USD 19 billion in 2026

Juniper Research expects global spending to rise 55% to more than USD 29 billion by 2030. It identifies biometric verification as the fastest-growing modality. It also finds that enterprise buyers are consolidating spend with vendors covering the full identity lifecycle across markets and regulations.

Regulated firms face AI-generated fraud, including deepfake and synthetic-identity attacks, while compliance requirements widen under EU AMLR, MiCA, eIDAS 2.0, national age-verification laws, and CNBV and CUB rules in Mexico and Latin America.

Stoddart said a business onboarding customers in Amsterdam, Madrid, London, Mexico City, São Paulo or Bogotá can now apply one verification standard through a single vendor. He named service continuity for existing customers as the first priority.

Finch Capital's Vlaar said the market is ready for consolidation. He cited strong organic growth and tender wins at large Tier 1 banks as evidence the two companies are well placed.

Orange Clover and Act Legal Spain advised Fourthline on Dutch and Spanish law. TD Securities advised Veridas financially, with Pérez-Llorca and AKD as legal counsel. Lexense advised Finch Capital.
