Robo.ai Plans 1-for-25 Reverse Split, Effective Nov. 6 If Approved

Dubai – October 16, 2026 -- Robo.ai Inc. (Nasdaq: AIIO) will cut its Class B share count from 222,116,290 to 8,884,684 through a 1-for-25 reverse stock split effective November 6, 2026, subject to shareholder approval at an extraordinary general meeting (EGM) on October 26.

Class A count falls to 552,701 shares from 13,817,501

The split applies to all classes of ordinary shares. Adjusted trading of the publicly traded Class B shares begins at market open, U.S. Eastern time, on November 6 under the existing ticker "AIIO", with a new CUSIP number of G6693P130. The split takes effect at 9:30 am Eastern.

Robo.ai expects the Class B share price to rise proportionately but gives no assurance that it will reach 25 times the pre-split price. Par value per share rises from US$0.002 to US$0.05 for both classes.

Split leaves ownership percentages unchanged, apart from fractional-share effects

The company says the split affects all shareholders uniformly. Outstanding options, warrants and other convertible securities will be adjusted proportionately under their terms. The press release states that holders who would otherwise receive a fractional share will receive a full share instead. The draft resolution text separately provides for fractional shares to be aggregated and sold for the company's benefit.

Authorized capital drops to 80 million shares, then rises to 385 million

Immediately after the consolidation, authorized share capital would change from US$4,000,000 divided into 2,000,000,000 shares to US$4,000,000 divided into 80,000,000 shares. That comprises 10,000,000 Class A and 70,000,000 Class B shares.

A second ordinary resolution would then raise authorized capital to US$19,250,000 divided into 385,000,000 shares. This adds 25,000,000 Class A and 280,000,000 Class B shares, for totals of 35,000,000 Class A and 350,000,000 Class B. By comparison, 8,884,684 Class B shares will be outstanding after the split.

A third resolution, a special resolution, would adopt the seventh amended and restated memorandum and articles of association. It authorizes the necessary filings with the Registrar of Companies in the Cayman Islands.

EGM on October 26 uses 25-to-1 voting weighting for Class A shares

The EGM starts at 8:30 am U.S. Eastern time (4:30 pm Dubai) at Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai. Shareholders can also vote and submit questions via live webcast.

Holders of record at the close of business on October 14, 2026 are entitled to vote. Each Class A share carries 25 votes and each Class B share carries one vote.
