Los Angeles – October 12, 2026 -- R&S Holdings, a Maryland-based behavioral health organization, has acquired Innovo Detox, a Pennsylvania provider of substance use disorder (SUD) treatment and drug and alcohol rehabilitation services, in a transaction advised by M&A Healthcare Advisors (MAHA). Financial terms were not disclosed.
MAHA served as exclusive sell-side advisor on an accelerated timeline
MAHA, a FINRA-licensed investment bank focused on healthcare, represented Innovo exclusively. Managing Director Andre Ulloa and Senior Associate Mike Abud led the engagement.
The deal required structuring as a clean, standalone acquisition. MAHA coordinated the diligence process and worked with legal counsel on both sides to keep the transaction moving, and it closed on an accelerated timeline.
R&S Holdings adds an established clinical operation to its Mid-Atlantic platform
R&S Holdings is the parent company of Project Chesapeake and Recovery Network. The acquisition adds an established clinical operation to its growing behavioral health platform, which spans residential and outpatient facilities across Maryland and Pennsylvania. The company is pursuing further strategic acquisitions and partnerships across the Mid-Atlantic region and beyond.
Joe Rogers, Co-CEO of R&S Holdings, said the opportunity met every item on the company's acquisition criteria and that R&S intends to build on the foundation Innovo has established.
Regulatory and reimbursement complexity shaped the sell-side process
MAHA cited licensing and regulatory considerations, along with the revenue cycle complexities of commercial insurance reimbursement, as the main challenges in behavioral health M&A. Addiction treatment deals, it said, require advisors versed in both transaction mechanics and clinical operations.
Innovo Detox, whose legal entity is Polaris Detox LLC, provides residential and clinical treatment services. Founder Eric Spofford said MAHA understood the clinical and regulatory realities of the business and kept a complicated transaction on a quick timeline.
Ulloa said MAHA identified R&S Holdings early in the process as a strategic fit given its commitment to the SUD sector.
