LAS VEGAS – October 29, 2026 -- Sands China Ltd. plans to issue USD-denominated senior unsecured notes to redeem in full its outstanding US$700 million 2.300% senior notes due 2027, parent company Las Vegas Sands Corp. (NYSE: LVS) said.
Proceeds target bond redemption, revolver repayment and capex
Sands China will combine net proceeds with cash on hand to redeem the 2027 notes plus any accrued interest. It will also repay the outstanding balance on its 2024 SCL Revolving Facility. Remaining funds are earmarked for general corporate purposes, including capital expenditures.
The principal amounts, interest rates and other key terms will be set at pricing. None have been disclosed.
Offering restricted to professional investors under Rule 144A and Regulation S
The notes are unregistered under the U.S. Securities Act of 1933. They may be sold only to professional investors, as defined in Chapter 37 of the Hong Kong Listing Rules, who are either qualified institutional buyers under Rule 144A or non-U.S. persons outside the United States under Regulation S.
No notes will be offered to the public in Hong Kong, and none will be placed with connected persons of Sands China.
Hong Kong Stock Exchange issues eligibility letter for note listing
Sands China intends to seek a listing of the notes on the Hong Kong Stock Exchange and has received an eligibility letter from the exchange. The exchange noted that admission does not indicate the merits of Sands China or the notes.
Sands China, listed in Hong Kong under HKEx: 1928, is the largest integrated resort operator in Macao and a majority-owned subsidiary of Las Vegas Sands.
No binding agreement signed, so the deal may not proceed
No binding agreement has been entered into, and the offering may or may not materialize. Las Vegas Sands cited current market demand for the securities and negotiations with the initial purchasers as factors that could affect completion or timing. It urged investors in both companies to exercise caution when dealing in their securities.
