Beijing – September 07, 2026 -- Scienjoy Holding Corporation (NASDAQ: SJ) has agreed to acquire a 29.9% stake in Hong Kong-listed Leader Education Limited (HKSE: 1449.HK) for HK$102.69 million, or approximately US$13.1 million, marking the live-streaming platform operator's entry into China's private higher education sector.
Scienjoy Innovation Labs to purchase 239.2 million Leader Education shares from controlling shareholder
Under the sale and purchase agreement, Scienjoy's wholly-owned subsidiary Scienjoy Innovation Labs Inc. will buy 239,234,000 ordinary shares from Shuren Education Limited, Leader Education's controlling shareholder. The shares represent 29.9% of Leader Education's issued and outstanding share capital.
Closing hinges on due diligence, listing continuity and trading suspension limits
The transaction is conditional on Scienjoy's satisfaction with due diligence findings, the absence of material warranty breaches by Shuren, receipt of all necessary waivers and consents, continued listing of Leader Education on the Main Board of The Stock Exchange of Hong Kong through closing, and no trading suspension exceeding ten consecutive business days. Closing is expected five business days after all conditions are satisfied or waived, unless the parties agree otherwise in writing.
Deal classified as related-party transaction via shared director
The transaction qualifies as a related party deal because Scienjoy's independent director, Jun Lu, also serves as an executive director of Leader Education.
Scienjoy targets AI-education integration through the investment
Victor He, Chairman and CEO of Scienjoy, said the deal aims to combine the company's AI and technology capabilities with Leader Education's academic resources, citing existing Scienjoy work on intelligent systems for course content management, administrative operations, and teaching outcomes.
Leader Education operates four campuses across three Chinese regions
Leader Education, based in Heilongjiang Province, ranks among the province's top private education institutions and operates Heilongjiang College of Business and Technology, an undergraduate institution focused on engineering and business management. Since 2021, the company has established two additional vocational schools in the Yangtze River Delta and Beijing-Tianjin-Hebei regions, expanding its network to four campuses across three locations.
