Taoping Gets Nasdaq Bid-Price Notice, Has Until April 2027 to Comply

Tianjin -- Taoping Inc. (Nasdaq: TAOP) has until April 12, 2027, to lift its share price back to US$1.00 after Nasdaq notified the company on October 13, 2026, that it fails the minimum bid price requirement under Listing Rule 5550(a)(2).

Nasdaq based the notice on the closing bid price of Taoping's ordinary shares over the 30 consecutive business days from August 31, 2026 through October 12, 2026. Under Listing Rule 5810(c)(3)(A), a deficiency lasting 30 consecutive business days constitutes a failure to meet the requirement. Taoping disclosed the letter under Listing Rule 5810(b), which requires prompt disclosure.

Taoping must close at US$1.00 or higher for ten consecutive business days to regain compliance

The company has a 180-calendar-day compliance period. If the closing bid price reaches at least US$1.00 for a minimum of ten consecutive business days within that window, Nasdaq will confirm compliance in writing and close the matter.

A separate threshold applies on the downside. If the closing bid price falls to US$0.10 or less for ten consecutive trading days during the period, Nasdaq will issue a delisting determination under Listing Rule 5810(c)(3)(A)(iii).

Any reverse split must be completed ten business days before the April 12 deadline

Should Taoping opt for a reverse stock split, it must complete the split no later than ten business days before April 12, 2027, to regain compliance in time. The company said it will monitor the closing bid price and may consider available options if appropriate. It has not announced a specific plan.

A second 180-day grace period is available if Taoping meets Nasdaq Capital Market standards

If Taoping misses the April deadline, it may qualify for an additional 180 calendar days. Eligibility requires meeting the continued listing requirement for market value of publicly held shares and all other initial listing standards for The Nasdaq Capital Market, except the bid price requirement. The company would also have to give Nasdaq written notice of its intention to cure the deficiency during the second period, by effecting a reverse stock split if necessary.

If Taoping does not qualify for the second period or fails to regain compliance within it, Nasdaq will notify the company of its determination to delist the ordinary shares. Taoping could then appeal that determination to a Hearings Panel.

The notification has no immediate effect on the listing. The shares continue to trade uninterrupted on Nasdaq under the ticker "TAOP."
