Tokenized CNTN Stock Trades Onchain in First SEC Exemption Deals

New York – November 04, 2026 -- Canton Strategic Holdings (NASDAQ: CNTN) has executed the first trades of issuer-sponsored tokenized U.S. equity under the SEC's September 17 Innovation Exemption, with DRW Cumberland buying shares from Five North on the Canton Network on November 4.

Three counterparties executed the first trades on TSV's permissioned pool

The trades ran through a permissioned pool on Tradecraft, the automated market maker protocol that powers TSV LLC, the venue for tokenized NMS stocks on Canton. Five North, an existing shareholder, was the seller. DRW Cumberland made the first purchases. Flowdesk Liquidity Solutions provided the liquidity. Settlement was atomic on the Canton Network. The announcement did not disclose trade size or price.

The trades follow Canton Strategic Holdings' October 29 agreement to make its common stock available on TSV.

Fairmint moved Five North's position from a broker-dealer account to an onchain register

Five North asked for its CNTN shares to be registered in tokenized form. Fairmint TA LLC, the company's SEC-registered transfer agent, recorded the shares directly to Five North's verified Loop Wallet. That moved the position off a broker-dealer account and onto the company's onchain shareholder register. TSV then set up a pool among liquidity providers, including Flowdesk and DRW Cumberland.

Fairmint keeps the official onchain record of ownership, runs the allow list of verified holders and wallets, and applies the company's transfer controls.

Only verified holders can trade, and settlement is all-or-nothing

Only holders whose identity and wallets the transfer agent has approved can hold or trade the tokenized shares. Approval requires identity verification and sanctions screening. TSV says the market maker allows 24/7 trading, subject to regulatory stoppages, maintenance, risk controls and volume limits. Both sides of a trade transfer together or not at all, in an instantaneous delivery-versus-payment transaction.

Holders of the tokenized shares receive the same rights and privileges as those holding the stock through Nasdaq. CEO Mark Wendland said the Canton Network's privacy protects holders from the MEV frontrunning and information leakage common on other public chains.

Issuer control is the selling point for public companies

Wendland said the Innovation Exemption framework lets issuers control where and how their stock is tokenized. Fairmint CEO Joris Delanoue said the trade opens a path for public companies to bring shares onchain while retaining control, and added that a blockchain can settle a trade but a transfer agent must establish legal ownership.

Flowdesk U.S. CEO Reed Werbitt said his firm is among the first covered firms under the exemption. TSV, founded by Ali Abrar and Ryan Trinkle, is the first Tokenized Securities Venue to complete the SEC's Innovation Exemption process under Release No. 34-106402. Obsidian Software LLC developed the Tradecraft protocol.

Canton Strategic Holdings is a Super Validator on the Canton Network and a member of the Canton Foundation. Five North is also a Super Validator and develops the Loop wallet.
