AerCap Prices $1.5B Senior Notes in Two Tranches, 5.500% to 5.875%

Dublin – October 12, 2026 -- AerCap Funding Designated Activity Company, a wholly-owned subsidiary of AerCap Holdings N.V., has priced $1.5 billion of senior notes split evenly between a 2030 and a 2033 maturity.

AerCap Funding splits the $1.5 billion offering into two $750 million tranches

The 5.500% Senior Notes due 2030 and the 5.875% Senior Notes due 2033 each carry a principal amount of $750 million. The 2033 tranche pays a coupon 0.375 percentage points higher than the 2030 tranche in exchange for three additional years of maturity.

AerCap Holdings and certain other subsidiaries will guarantee the notes fully and unconditionally on a senior unsecured basis.

Proceeds will fund aircraft assets and repay debt

The issuer plans to use net proceeds for general corporate purposes. These include acquiring, investing in, financing or refinancing aircraft assets, and repaying indebtedness. The release does not break down the split between new aircraft investment and debt repayment.

Six banks lead the underwritten public offering

Citigroup, Mizuho, BNP Paribas, Deutsche Bank Securities, Santander and Truist Securities are serving as joint book-running managers.

The offering is made under a Form F-3 registration statement filed with the U.S. Securities and Exchange Commission. The statement became effective automatically on filing on June 29, 2026.
