Oklahoma City – September 19, 2026 -- Bank7 Corp. (NASDAQ: BSVN) has signed a definitive merger agreement to acquire 100% of Century Financial Services Corporation, the Santa Fe, New Mexico-based parent of Century Bank, in a deal valued at approximately $137.3 million.

Deal creates a $3.3 billion Southwest banking franchise

The combined organization would hold roughly $3.3 billion in total assets, merging Bank7's Oklahoma-based lending platform with Century's century-old New Mexico deposit base. Century Bank, founded in 1887, is the second-largest bank headquartered in New Mexico and one of the last independent institutions in the state, operating eight branches plus loan production offices in Dallas and Houston.

Century shareholders to receive cash and stock

Under the merger terms, Century shareholders will receive aggregate consideration of $70 million in cash and 1,232,657 shares of Bank7 common stock. Based on 332,683 outstanding Century shares, this equates to $210.41 in cash and 3.7052 Bank7 shares per Century share, implying a transaction value of approximately $137.3 million based on Bank7's 10-day average closing price of $54.57 as of September 16, 2026. Non-accredited Century shareholders will receive cash in lieu of stock, and the deal is structured to qualify as a tax-free reorganization.

Deal follows a court receivership auction process

The transaction stems from a receivership proceeding, KS StateBank Corporation v. Peters et al., in the U.S. District Court for the District of Arizona. Bank7 was previously named the successful bidder on September 3, 2026 for a 71% controlling stake in Century under a separate Receivership Stock Purchase Agreement. That agreement remains in force, but Bank7 said the newly signed whole-company merger is its preferred path forward; if the merger agreement is terminated, it intends to fall back on the receivership stock purchase.

Century's directors and majority shareholders back the deal

Century's directors, executive officers, the court-appointed receiver, and certain minority shareholders — collectively holding a substantial majority of outstanding shares — have signed voting agreements supporting the merger. Closing requires Century shareholder approval, bank regulatory clearance and customary conditions, with the deal expected to close in the fourth quarter of 2026.
