Wilmington, Del. – September 19, 2026 -- Brand Engagement Network Inc. (Nasdaq: BNAI) has filed a Form 8-K/A with the U.S. Securities and Exchange Commission disclosing audited financials for Cataneo GmbH, the Munich-based advertising infrastructure software provider it acquired on June 30, 2026.

Cataneo's operating cash flow more than doubled to $1.85 million in fiscal 2025

The figure rose from $848,000 in fiscal 2024, according to the audited financial statements included in the filing. Operating income also more than doubled year over year, reaching $726,065 in fiscal 2025 versus $345,725 in fiscal 2024, on revenue of $9.6 million.

Contract liabilities climbed 19% to $4.5 million, pointing to recurring revenue visibility

Total contract liabilities — representing future revenue already billed or collected — grew from $3.8 million at year-end 2024. BEN said it continues to pursue a previously disclosed $900,000 annualized cost-synergy target for the Cataneo integration, with additional headcount-related savings identified since that guidance was first issued.

Earlier this month, BEN and Cataneo jointly announced technology designed to convert traditional commercial breaks into real-time, one-to-one interactions, letting viewers engage directly with AI agents embedded in broadcast and streaming content. Industry researcher Omdia projects global connected TV advertising revenue will grow from $44 billion in 2025 to $81 billion by 2030, a market the companies are positioning their combined technology to address.

Cataneo's MYDAS platform serves more than 1,000 media brands and 200 channels worldwide

The acquisition brings MYDAS — which supports advertising sales, scheduling, traffic, and monetization — into BEN's enterprise AI engagement portfolio. Interim financial data for the three months ended March 31, 2026, included in the 8-K/A, remains unaudited.
