Newcastle – September 24, 2026 -- Newcastle Coal Infrastructure Group Pty Ltd (NCIG) has concluded a cash tender offer for its outstanding 4.400% Guaranteed Senior Secured Notes due 2027, setting a Tender Offer Consideration of US$993.11 per US$1,000 of principal validly tendered.
Offer expired September 23 with all valid tenders set for acceptance
The offer, launched under an Offer to Purchase dated September 8, 2026, closed at 5:00 p.m. New York City time on September 23, 2026, with withdrawal rights lapsing at the same moment. Global Bondholder Services Corporation, acting as tender and information agent, confirmed that a portion of the outstanding notes had been validly tendered and not withdrawn as of the expiration deadline. NCIG said it expects to accept for purchase all securities validly tendered and not withdrawn.
Consideration was fixed at 3:00 p.m. New York time on expiration day
The Tender Offer Consideration of $993.11 per $1,000 original principal amount was determined at 3:00 p.m. New York City time on September 23, 2026. Holders whose notes are accepted will also receive accrued and unpaid interest from the last interest payment date through the settlement date, rounded to the nearest cent.
Settlement is scheduled for September 28, the third business day after expiration
NCIG anticipates settling the transaction on September 28, 2026. Completion remains subject to conditions set out in the Offer to Purchase, including a Financing Condition and general conditions; the company retains the right to waive, extend, terminate or amend the offer, with tendered notes returned to holders if terminated.
Citigroup and Goldman Sachs managed the transaction for the Hunter Valley terminal operator
Citigroup Global Markets Inc. and Goldman Sachs & Co. LLC served as dealer managers, while Global Bondholder Services Corporation handled tender processing. NCIG, a wholly-owned subsidiary of NCIG Holdings Pty Ltd, operates a coal export terminal at the Port of Newcastle in New South Wales, with shareholders including BHP Group, Yancoal Australia, Whitehaven Coal, Peabody Energy, Banpu (Centennial Coal) and Malabar Resources.
