Sabre Financial Secures 90% Tender for Debt, Sets Redemption

Southlake, Texas – September 25, 2026 -- Sabre Corporation (Nasdaq: SABR) disclosed that its indirect subsidiary, Sabre Financial Borrower, LLC, has secured tenders exceeding 90% of the aggregate principal amount outstanding on its targeted securities as of the September 25, 2026 early tender deadline, clearing the threshold required to force redemption of the remaining debt.

Over 90% acceptance triggers mandatory redemption of holdout bonds

Because more than 90% of the outstanding principal was validly tendered under the terms of the Indenture, Sabre Financial intends to issue a notice of redemption covering any securities that remain outstanding after the early settlement. The redemption price will match the Total Consideration offered in the tender, plus accrued and unpaid interest, with the redemption date expected on October 13, 2026.

Early tender premium set at $50 per $1,000 of principal

Holders who tendered by the early deadline qualify for a $50 per $1,000 principal early tender premium, layered into the Total Consideration, alongside accrued and unpaid interest calculated from the last interest payment date. Sabre Financial expects to settle and pay accepted holders on September 28, 2026, contingent on satisfying tender conditions, including financing.

Consent threshold met, paving way for supplemental indenture

Consents gathered alongside the tendered securities were sufficient to approve all proposed amendments to the Indenture, dated December 5, 2025, governing the securities. Sabre Financial expects to execute a supplemental indenture with guarantors and trustee Wilmington Trust, National Association, effective upon execution and settlement of the early-tendered securities.

Offer remains open through October 12 deadline

The broader tender offer and consent solicitation will run until 5:00 p.m. New York time on October 12, 2026, unless extended or terminated early. Withdrawal rights for already-tendered securities expired at the early deadline, locking in those positions except where law mandates additional withdrawal rights.
