Stockholm – September 21, 2026 -- Sandvik AB has appointed a five-member Nomination Committee to prepare board and auditor proposals ahead of its 2027 Annual General Meeting, scheduled for April 28, 2027, in Sandviken, Sweden.
Four principal shareholders each name a representative to the committee
The committee comprises Fredrik Lundberg of AB Industrivärden, who serves as chairman; Oscar Bergman of Swedbank Robur Funds; Lars Pettersson of Lundbergs; Frank Larsson of Handelsbanken Funds; and Sandvik's own Board Chairman, Johan Molin, acting as convenor. The composition follows a standing instruction adopted at the 2020 AGM, under which the four largest shareholders by voting rights as of the last banking day in August each designate a member.
Committee will set board fees, auditor terms and chairman nominations
The Nomination Committee's mandate covers proposals for the chairman of the 2027 meeting, the number of board members, individual board compensation, board and chairman elections, auditor remuneration, and auditor selection. It may also propose amendments to its own governing instruction if warranted.
Shareholders face a January 18, 2027 deadline to submit proposals
Shareholders wishing to put forward candidates or proposals must contact committee secretary Johanna Kreft by e-mail no later than January 18, 2027, to ensure consideration ahead of the AGM.
