Vancouver – October 02, 2026 -- Silvercorp Metals Inc. (TSX/NYSE American: SVM) secured shareholder approval for all resolutions at its annual general and special meeting, including a special resolution to amend its corporate Articles to align with Hong Kong Stock Exchange listing rules.
Shareholders back Hong Kong Stock Exchange alignment with 95.74% approval
The special resolution authorizing amendments to Silvercorp's Articles passed with 96,389,543 votes in favor, representing 95.74% support, against 4,287,268 votes opposed. The amendments bring the Company's constating documents in line with listing rules governing securities on The Stock Exchange of Hong Kong, a move the Company first disclosed in news releases issued September 22 and September 30, 2026.
Compensation plan overhaul clears with narrower 84.51% margin
A separate ordinary resolution to amend and restate the Company's share-based compensation plan received 85,182,202 votes FOR, or 84.51%, with 15,613,836 votes against, equal to 15.49%. The split margin marks a notably lower approval rate than the Articles amendment, pointing to shareholder divergence on executive and employee compensation structures.
Turnout reaches 55.69% as 123.18 million shares cast ballots
A total of 123,182,474 common shares were represented at the meeting, accounting for 55.69% of votes attached to all outstanding shares as of the record date. Shareholders also re-approved Deloitte LLP as the Company's auditor for the coming year.
