Tenon Medical Raises $2.87M via Warrant Inducement Deal

Jersey City, N.J. – September 17, 2026 -- Tenon Medical, Inc. (NASDAQ: TNON) has closed a warrant inducement agreement generating $2,872,338.58 in gross proceeds from an institutional investor exercising 572,179 outstanding warrants in full.

Institutional investor exercises warrants for immediate cash proceeds

The exercising holder converted 572,179 existing warrants into common stock, delivering gross cash proceeds of $2,872,338.58 to Tenon before deducting advisor fees and other expenses.

Company issues new warrants covering 858,269 shares at $5.02 exercise price

In exchange for the immediate exercise, the investor received new unregistered warrants to purchase up to 858,269 shares of common stock, equal to 150% of the shares issued in the original exercise. The new warrants carry a $5.02 per-share exercise price, are immediately exercisable upon issuance, and expire five years from that date.

New warrants sold via private placement exemption, resale registration pending

Tenon has committed to filing a resale registration statement covering the shares issuable upon exercise of the new warrants.
