Hellerup, Denmark – September 19, 2026 -- TORM plc has closed a secondary public offering of 9,000,000 Class A common shares sold by OCM Njord Holdings S.à r.l., an entity indirectly owned by funds managed by Oaktree Capital Management, L.P. Following the transaction, the Selling Shareholder retains beneficial ownership of approximately 11.06% of TORM's Class A common shares.
Oaktree-linked seller grants underwriter option for 1,350,000 additional shares
J.P. Morgan Securities LLC acted as sole underwriter for the offering and holds a 30-day option to purchase up to 1,350,000 additional Class A shares. TORM confirmed it did not sell any shares in the transaction and received no proceeds, with the entire offering structured as a divestment by the existing shareholder rather than a capital raise for the company.
Shelf registration with U.S. SEC underpins the transaction structure
The offering was conducted under a shelf registration statement filed with the U.S. Securities and Exchange Commission, which remains effective. TORM's shares trade on Nasdaq in Copenhagen and Nasdaq in New York under tickers TRMD and TRMD A.
