Vancouver – October 02, 2026 -- Trilogy Metals Inc. (NYSE American: TMQ; TSX: TMQ) closed a $17.8 million strategic equity investment from the United States Department of War (DOW) on September 11, 2026, as part of a broader $35.6 million financing package tied to its Upper Kobuk Mineral Projects (UKMP) in Alaska. The company reported a cash balance of $31.2 million and adjusted working capital of $30.3 million as of August 31, 2026, which it says substantially funds its share of Ambler Metals LLC's fiscal 2026 budget.

DOW now holds 9.1% stake after issuing 8.2 million units at $2.17 each

At closing, Trilogy issued 8,215,570 units to the DOW at $2.17 per unit, each comprising one common share and three-quarters of a warrant. The deal generates warrants for up to 6,161,678 additional shares at a $0.01 exercise price over a ten-year term, exercisable upon completion of Phase 1 of the Ambler Access Project or specified usage milestones. Combined with a separate share purchase from South32 Limited, the DOW's holding in Trilogy now stands at approximately 9.1%. Under a Cooperation Agreement, the DOW can designate one independent board nominee and appoint a board observer. Proceeds are earmarked for Ambler Metals, with South32 matching contributions pro-rata to preserve Trilogy's 50% ownership stake in the joint venture.

Federal permitting schedule sets September 2028 Record of Decision for Arctic Project

On July 13, 2026, a coordinated federal and state permitting schedule for the Arctic Project was published on the Federal Permitting Dashboard, outlining a 29-month integrated review targeting a Record of Decision in September 2028. The U.S. Army Corps of Engineers is confirmed as lead federal agency, operating under the first statewide FAST-41 Memorandum of Understanding issued in the United States. The USACE subsequently published its Notice of Intent to prepare an Environmental Impact Statement in September 2026, formally launching the NEPA review and public scoping phase on schedule.

Net income swings to $0.2 million in Q3 on derivative gain from DOW deal

For the three months ended August 31, 2026, Trilogy posted net income of $0.2 million, reversing a $1.7 million net loss in the same period a year earlier. The swing was driven by a mark-to-market gain on the derivative liability tied to the DOW share and warrant obligation, partly offset by a larger share of losses from Ambler Metals due to budgeted exploration spending. For the nine months ended August 31, 2026, the net loss widened to $13.2 million from $7.5 million a year earlier, reflecting higher stock-based compensation and increased exploration activity at Ambler Metals, including added senior staff costs.

Settlement of derivative liability generates $3.9 million non-cash gain

Closing of the Strategic Investment extinguished the derivative liability previously tied to Trilogy's obligation to issue shares and warrants to the DOW, producing a non-cash gain of approximately $3.9 million. The amounts were reclassified to share capital and contributed surplus, removing future fair-value volatility tied to that instrument.

Company used $4.9 million in operations, $17 million funding Ambler Metals over nine months

During the nine-month period, Trilogy used $4.9 million in operating activities and $17.0 million in investing activities -- the latter representing its contribution toward Ambler Metals' fiscal 2026 budget of $17.5 million. Financing activities raised $1.4 million, largely through the company's at-the-market program, under which it may issue up to $200 million in common shares. Remaining fiscal 2026 corporate budget obligations stand at $1.1 million, which management says is covered by current cash on hand.
