Z Squared Buys Energized Arkansas Site, Eyes 150+ MW AI Capacity

Ft. Lauderdale – September 13, 2026 -- Z Squared Inc. (Nasdaq: ZSQR) closed its all-stock acquisition of Paradox Data, LLC, gaining an energized computing campus in El Dorado, Arkansas, with an existing 8.0 MW electric service arrangement and a phased target of 150+ MW of AI-ready capacity.

Deal closes with zero cash and no debt financing

Z Squared paid entirely in stock for Paradox Data, LLC, acquired from Paradox Infrastructure LLC, incurring no cash outlay or debt at closing. The transaction hands the company its first owned, energized computing site, the Union County Campus, as it builds out an AI colocation business.

Existing 8.0 MW connection anchors a 150+ MW expansion plan

The campus already draws power under an interruptible service arrangement with Entergy Arkansas, LLC for up to approximately 8.0 MW. Paradox Data holds contractual rights to acquire adjacent land, giving Z Squared a pathway toward 150+ MW of AI-ready capacity through a mix of utility power and on-site generation. Capacity beyond the current 8.0 MW remains an uncontracted, unenergized development target, contingent on additional power arrangements, customer commitments, financing, permitting and construction.

CEO ties deal to four shareholder benchmarks set in August

Chief Executive Officer David Halabu said the company had met the first of four benchmarks it asked shareholders to track: closing the Paradox acquisition, signing a first paying tenant with megawatt commitments, growing energized capacity beyond 8 MW, and adding sites without taking on debt. He said near-term work centers on engineering, power planning and securing a first customer commitment, with Union County intended as the first of multiple owned campuses under the same financial discipline.

A2 Advisors engaged to run site development and leasing strategy

Z Squared has engaged A2 Advisors, a digital infrastructure advisory firm, to support site-development planning, project delivery, vendor alignment, and leasing and capital strategy at Union County. Immediate priorities include first-phase high-density electrical and cooling design, utility and on-site generation planning, advancing the adjacent land purchase, and securing the first binding customer request for service.

Union County feeds into a 100 MW multi-site Phase 1 target

The Arkansas campus is intended to contribute to Z Squared's previously announced Phase 1 objective of developing 100 MW of AI-ready capacity across multiple U.S. sites. The company's stated approach is to acquire energized, grid-connected properties and deploy conversion capital site by site against customer commitments and operational readiness. Z Squared shares began trading on the Nasdaq Global Market under the ticker ZSQR in April 2026.
