Flex Closes EPC Power Deal Ahead of Q1 2027 Cloud Unit Spin-Off

Austin – October 14, 2026 -- Flex (NASDAQ: FLEX) has completed its acquisition of EPC Power, adding a power conversion provider with more than 15 GW deployed to its Cloud and Power Infrastructure segment weeks before shareholders weigh the planned spin-off of that unit.

EPC Power joins Flex's Cloud and Power Infrastructure segment

EPC Power supplies intelligent power conversion solutions for data center and grid applications. Flex said the acquisition expands its capabilities across power, cooling and compute as demand grows for higher-density AI infrastructure and next-generation 800V data center power architectures.

Flex did not disclose the purchase price or other financial terms.

15 GW of deployed technology supports grid stabilization and backup power

EPC Power combines proprietary hardware, software and controls with U.S.-based engineering and manufacturing. Its technology supports grid stabilization and backup power, and its platform is engineered for 800V data center power architectures. Flex describes the technology as differentiated grid-forming and power conversion capability.

Flex Chief Executive Revathi Advaithi said the combination lets the company help customers address the growing power demands of AI infrastructure with more efficient, resilient and integrated solutions.

Flex plans to list the segment as Axiom Solutions International in Q1 2027

Flex intends to separate its Cloud and Power Infrastructure segment into an independent publicly traded company, Axiom Solutions International, Inc., in the first calendar quarter of 2027. EPC Power will be part of that business.

Flex filed a proxy statement on Schedule 14A with the U.S. Securities and Exchange Commission on October 5, 2026, seeking shareholder approval of spin-off-related proposals. Axiom has also filed a Form 10 registration statement with the SEC for its common stock.

Flex cited risks to the spin-off including uncertainty over completion and timing, unmet closing conditions, delays in required approvals, and the possibility that the transaction will not qualify for expected tax-free treatment for U.S. federal income tax purposes.
