Houston – September 25, 2026 -- Nauticus Robotics (NASDAQ: KITT) has entered into a non-binding letter of intent with a strategic investor for a private placement equity investment of up to $50 million.

Strategic investor eyes up to $50 million stake in Nauticus Robotics

The autonomous subsea robotics developer disclosed the LOI on Sept. 25, 2026, framing the potential capital injection as support for its short- and long-term commercial objectives. The deal remains non-binding and does not obligate the investor to fund the transaction.

Board weighs fiduciary duties as deal terms remain unsettled

Nauticus' Board of Directors is evaluating the proposed transaction and is considering engaging an independent financial advisor to assist in its review. The investment is subject to due diligence, negotiation of definitive agreements, regulatory approvals, and closing conditions.

Deal could dilute shareholders or trigger change of control

Depending on final terms, the investment could result in dilution to existing stockholders and/or a change of control of the company. Nauticus cautioned there is no assurance that definitive agreements will be reached or that the transaction will close on the terms currently contemplated, or at all.

The company said it intends to provide further updates on the proposed transaction in accordance with applicable disclosure requirements.
