Dubai – September 12, 2026 -- Robo.ai Inc. (Nasdaq: AIIO) will ask shareholders to approve a tenfold expansion of its authorized share capital at an extraordinary general meeting scheduled for September 22, 2026, at 4:30 pm Dubai local time.
Robo.ai seeks to raise authorized capital from $400,000 to $4,000,000
The Dubai-based, Nasdaq-listed company is proposing to increase its authorized share capital from $400,000, divided into 200,000,000 shares, to $4,000,000, divided into 2,000,000,000 shares. The plan calls for creating an additional 225,000,000 Class A ordinary shares and 1,575,000,000 Class B ordinary shares, each carrying a par value of $0.002.
Class A shares carry 25 votes each, entrenching founder control
Shareholders of record as of September 23, 2025 are entitled to vote at the EGM, with each Class A ordinary share carrying twenty-five votes versus one vote per Class B ordinary share. The disproportionate voting structure gives Class A holders outsized influence over the capital increase and governance resolutions on the agenda.
