Sectra Shareholders Approve SEK 2.30 Dividend, New Incentive Plan at AGM

Linköping – – September 12, 2026 -- Shareholders of Sectra AB (STO:SECTB) approved a combined dividend of SEK 2.30 per share at the medical imaging IT and cybersecurity company's Annual General Meeting held September 8, 2026.

Sectra sets record date for SEK 2.30 combined payout

The AGM resolved to distribute an ordinary dividend of SEK 1.30 per share plus an extraordinary dividend of SEK 1.00 per share, with remaining funds carried forward. The record date is September 10, 2026, and payment through Euroclear Sweden AB is expected September 15, 2026.

Board expands with two new directors, Brüer retains chair

Jan-Olof Brüer was re-elected Chairman, alongside re-elected directors Birgitta Hagenfeldt, Torbjörn Kronander, Anders Persson, Tomas Puusepp, Fredrik Robertsson and Ulrika Unell. Joel Kronander and Michael Brüer, previously deputy board members, were elected as full directors. Ernst & Young AB was re-elected auditor, with Andreas Troberg as auditor in charge.

Director fees set at SEK 740,000 for chairman

External board members will receive SEK 370,000 annually, with the chairman receiving SEK 740,000. Audit Committee fees are set at SEK 80,000 per external member and SEK 160,000 for its chairman; Remuneration Committee fees are SEK 35,000 and SEK 70,000 respectively.

New LTIP 2026 covers up to 1,500 employees

Shareholders approved a performance-based long-term incentive program for 2026 covering a maximum of 1,500 Group employees. Full allotment would require up to 1,000,000 Class B shares. The Board was authorized to fund the program either through share buybacks or by issuing up to 1,000,000 Class C shares, raising share capital by a maximum of SEK 200,000. Of the resulting treasury shares, up to 780,000 Class B shares may be transferred free of charge to participants, while up to 220,000 Class B shares may be sold on Nasdaq Stockholm to cover social security and payroll costs tied to LTIP 2026 and prior programs (LTIP 2021, 2022, 2024).

Board secures authority for acquisitions and share issuance

The AGM authorized the Board to acquire and divest treasury shares up to a 10% cap, intended to support acquisitions, capital structure adjustments and incentive program funding. Separately, the Board received authorization to issue up to 18,500,000 new Class B shares before the next AGM, with the ability to disregard preferential rights in certain set-off transactions, to facilitate financing of company or operations acquisitions.

Shareholders reject 50-year jubilee fund proposal

The AGM approved the 2025/2026 income statement and balance sheet, discharged the Board and President & CEO from liability, approved the Remuneration Report, and adopted new executive compensation guidelines. A shareholder proposal to establish a 50-year jubilee fund was not approved.
